Postal Skateboards Wholesale Program – Terms & Conditions

1. Eligibility

  • To qualify for the Postal Skateboards Wholesale Program, applicants must hold a valid business number:
    • For Australian businesses: an Australian Business Number (ABN) or Australian Company Number (ACN).
    • For New Zealand businesses: a New Zealand Business Number (NZBN).
  • Wholesale accounts are reserved for retailers, distributors, and approved resellers who meet the minimum order requirements and comply with our wholesale terms.

2. Pricing and Payment

  • All wholesale prices are in Australian Dollars (AUD) or New Zealand Dollars (NZD) depending on the customer's location.
  • Prices listed in the wholesale price list are exclusive of Goods and Services Tax (GST). Australian businesses will be charged an additional 10% GST on all invoices, while New Zealand businesses will be charged 15% GST as applicable.
  • Payment terms are as follows:
    • For all new wholesale accounts, full payment is required upfront before the order is processed.
    • For approved wholesale accounts with established credit terms, payment is due within 30 days of the invoice date, unless otherwise agreed in writing.
    • Accepted payment methods include bank transfer, credit card, and PayPal.

3. Minimum Order Requirements

  • The minimum wholesale order is:
    • Australia: AUD $500 per order.
    • New Zealand: NZD $500 per order.
  • Orders below this amount will not qualify for wholesale pricing.

4. Shipping and Delivery

  • Shipping costs will be calculated based on the order size, weight, and destination. Customers are responsible for all shipping and handling costs unless otherwise agreed.
  • Estimated delivery times are:
    • Australia: 5–7 business days.
    • New Zealand: 7–10 business days.
  • Customers are responsible for any customs duties, import taxes, or brokerage fees incurred during shipping to New Zealand or other international destinations.
  • All risk of damage, loss, or delay of goods passes to the customer upon shipment. It is recommended that customers take out shipping insurance.

5. Returns and Exchanges

  • All returns must be authorized by Postal Skateboards within 7 days of receiving the goods. Goods must be returned in their original packaging, unused, and in resaleable condition.
  • Returns due to faulty products will be replaced or refunded according to Australian Consumer Law and the Consumer Guarantees Act (CGA) in New Zealand.
  • Change of mind returns are not accepted for wholesale purchases.
  • Claims for shortages, damage, or other discrepancies must be made within 7 days of receiving the goods.

6. Intellectual Property

  • Wholesale customers agree to use Postal Skateboards' trademarks, logos, and marketing materials in accordance with Postal Skateboards' brand guidelines.
  • Wholesale customers may not modify, alter, or create derivative works based on Postal Skateboards' intellectual property without prior written consent.

7. Resale Guidelines

  • Postal Skateboards products must be sold at or above the minimum suggested retail price (MSRP) unless otherwise authorized in writing.
  • Products may only be sold through approved retail locations or websites. Reselling on third-party marketplaces such as eBay, Amazon, or Trade Me is strictly prohibited unless pre-approved.
  • Wholesale customers are not permitted to sell Postal Skateboards products outside of Australia or New Zealandwithout prior written consent.

8. Termination of Wholesale Account

  • Postal Skateboards reserves the right to terminate any wholesale account at its discretion for breaches of these terms, non-payment, or unethical business practices.
  • Upon termination, all outstanding balances must be paid within 7 days.

9. Australian Consumer Law (ACL) and New Zealand Consumer Guarantees Act (CGA)

  • Postal Skateboards complies with Australian Consumer Law (ACL) and the Fair Trading Act (FTA) in New Zealand. Customers are entitled to a replacement or refund for a major failure, and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
  • In New Zealand, the Consumer Guarantees Act (CGA) applies to wholesale transactions unless both parties agree in writing to contract out of its provisions.

10. Privacy Policy

  • Wholesale customers' personal information will be handled in accordance with Postal Skateboards' Privacy Policy, which complies with Australian and New Zealand privacy laws, including the Privacy Act 1988 (Australia) and the Privacy Act 2020 (New Zealand).

11. Governing Law

  • These terms and conditions shall be governed by and construed in accordance with the laws of:
    • Australia, if the wholesale customer is based in Australia.
    • New Zealand, if the wholesale customer is based in New Zealand.
  • Any disputes arising out of or in connection with these terms will be subject to the exclusive jurisdiction of the courts of the respective country.

12. Exclusive Territories

  • Exclusive Distribution: Postal Skateboards may offer exclusive distribution rights to certain retailers or resellers in specific regions (e.g., a particular city, state, or country). Such arrangements will be clearly outlined in a separate agreement.
  • Any breach of territorial exclusivity agreements may result in the termination of the wholesale account.

13. Marketing Support and Co-Branding

  • Marketing Materials: Postal Skateboards will provide approved retailers with marketing materials (e.g., posters, digital assets) upon request to assist in the promotion of products.
  • Co-Branded Promotions: Wholesale partners are encouraged to collaborate with Postal Skateboards on marketing campaigns, local events, or promotions, subject to prior written approval.

14. Pre-Orders and New Releases

  • Wholesale partners will receive early access to pre-order limited-edition products. Orders must be confirmed and paid for in full before production begins to secure stock.
  • Postal Skateboards reserves the right to limit the quantity of limited-edition or new-release products available to each wholesale customer to ensure fair distribution across all partners.

15. Sustainability and Ethical Sourcing

  • Postal Skateboards is committed to sustainability and ethical sourcing. Wholesale partners are encouraged to support this by promoting products responsibly and minimizing waste in their operations.
  • Postal Skateboards is actively exploring eco-friendly materials for decks and apparel and expects wholesale partners to align with these values where possible.

16. Dispute Resolution

  • In the event of any disputes or disagreements regarding the wholesale agreement, both parties agree to attempt to resolve the issue amicably through good faith negotiations.
  • If negotiations fail, the matter will be submitted to mediation before any further legal action is taken.

17. Force Majeure

  • Postal Skateboards shall not be held responsible for any delay or failure in performing any of its obligations under these terms if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, natural disasters, labor strikes, and shipping disruptions.

18. Social Media and Digital Marketing

  • Wholesale partners are encouraged to tag Postal Skateboards in all social media posts featuring our products, using our official hashtag #SENDIT to increase brand exposure.
  • If a wholesale partner wishes to list Postal Skateboards products on their website, they must do so in line with our branding guidelines. Prior approval of online product listings may be required.

19. Termination and Stock Liquidation

  • In the event of account termination, all outstanding balances must be paid within 7 days. Remaining stock may not be sold at discounted rates (below the MSRP) without prior approval.
  • Postal Skateboards reserves the right to restrict the liquidation of products after a wholesale account is terminated to prevent devaluation of the brand. Any liquidation plans must be submitted in writing and approved by Postal Skateboards.
